Proper Pilots Terms of Service

Introduction

Welcome to Proper Pilots! We help certified flight instructors (CFIs), flight schools, aircraft owners, and students coordinate lessons, handle payments, and track training progress. Please read these Terms of Service (“Terms”) carefully—using Proper Pilots means you accept them as well as our Privacy Policy.

Acceptance of These Terms

By creating an account, accessing, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Definitions

“Service” – The Proper Pilots website, mobile apps, and all related features.

“User” – Anyone who accesses or interacts with the Service (e.g., CFIs, students, flight schools, aircraft owners/operators).

“User-Generated Content” – Any information, data, text, images, videos, reviews, or other materials a User submits or uploads.

Proper Pilots is intended for individuals who are 18 years of age or the legal age of majority in their jurisdiction (“Adults”). Minors aged 13–17 may only use the Service if a parent or legal guardian creates the account and provides verifiable consent, consistent with the U.S. Children’s Online Privacy Protection Act (COPPA). Children under 13 are not permitted to use the Service. By using Proper Pilots, you represent that you meet these age requirements or that proper parental consent has been obtained.

User Accounts & Responsibility

You must provide accurate, current, and complete information when registering. You are solely responsible for safeguarding your credentials and all activity on your account. Notify us immediately of any unauthorized use.

User-Generated Content

You—and not Proper Pilots—are responsible for the accuracy and legality of anything you post. You grant Proper Pilots a non-exclusive, royalty-free license to use, host, and display your content solely to operate and improve the Service. Proper Pilots does not verify or endorse User-Generated Content.

Regulatory Compliance & Aviation Safety

Proper Pilots is a scheduling and administrative platform only; we do not manage flight operations, aircraft maintenance, aircraft airworthiness, instructor qualifications, or regulatory compliance. You are solely responsible for following all applicable aviation laws, regulations, and safety practices.

Chargebacks, ACH Returns, and Forced Reversals

Proper Pilots charges a small, non-refundable platform fee after each completed flight or rental.

All flight- or aircraft-related fees, refunds, or disputes are strictly between the aircraft owner, instructor, and student; Proper Pilots does not facilitate or issue refunds.

Proper Pilots processes payments through Increase.com, our secure, third-party payment processor. A “chargeback” or “reversal” refers to any compelled return of funds initiated by a card network, bank, or Increase.com—including credit- or debit-card disputes, retrieval requests, fraud claims, wire recalls, and all ACH reversal types.

If a chargeback or reversal is issued, the user who initiated the original payment is immediately responsible for:

  1. The full amount of the reversed transaction.
  2. All pass-through fees assessed to Proper Pilots by Increase.com, the card network, or the banking system.
  3. Proper Pilots’ non-refundable US $50 administrative fee.

Your account remains suspended—and you may not schedule flights, access records, or use any part of the Service—until all outstanding amounts are paid in full. Repeated or unresolved reversals may result in permanent termination of your account, referral to collections, and, where applicable, notification to law-enforcement authorities.

Prohibited Conduct & Security

You agree not to reverse-engineer, scrape, interfere with, or attempt unauthorized access to any part of the Service or its users. Collecting data for competitive purposes, automated mining, or any other misuse will lead to immediate termination and potential legal action.

Intellectual Property

All software, interfaces, and trademarks on the Service belong to Proper Pilots or its licensors. You may not reproduce, adapt, or reuse them to build a competing service.

Professional & General Disclaimers

The Service and all content are provided “AS IS,” “WITH ALL FAULTS,” and “AS AVAILABLE.” Proper Pilots makes no warranties—express or implied—about accuracy, fitness for a particular purpose, or uninterrupted availability, and the platform does not offer professional aviation advice.

Limitation of Liability

To the fullest extent permitted by law, Proper Pilots and its affiliates will not be responsible for any indirect, incidental, consequential, special, punitive, or exemplary damages. Total liability to any User will not exceed the greater of (a) US $100 or (b) the aggregate fees you paid Proper Pilots in the six months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold Proper Pilots—including its officers, directors, employees, and agents—harmless from any claim, loss, or expense arising from your use of the Service, your content, your violation of these Terms, or your infringement of another’s rights.

Outages & Continuity Responsibility

Events beyond our reasonable control (e.g., internet failures, natural disasters, third-party service disruptions) may cause outages. Proper Pilots strives for high availability but does not guarantee uninterrupted service. Users must maintain alternative methods—such as paper logs or direct communication—to manage flights and training if the software is unavailable.

Data Security & Privacy Acknowledgment

We employ industry-standard safeguards to help protect your data, but no system is 100 % secure. For details on how we collect, use, and protect personal information, please review our Privacy Policy.

Responsibilities of CFIs, Aircraft Owners, and Operators

Airworthiness & Maintenance – You are solely responsible for ensuring that every aircraft offered through Proper Pilots is airworthy, properly maintained, and compliant with all applicable FAA regulations and manufacturer requirements. Proper Pilots does not verify maintenance logs or airworthiness status.

Instruction Quality & Certifications – Certified Flight Instructors must hold current, valid certificates and medical qualifications, conduct training in accordance with FAA standards, and deliver instruction that meets or exceeds applicable safety and proficiency requirements. Proper Pilots does not oversee instructional quality.

Passenger & Third-Party Liability – You must carry and maintain adequate insurance that covers passengers, crew, and third parties for any flight arranged via the Service. Proper Pilots has no liability for injuries, damages, or losses that arise from flight operations.

Accurate Records & Factual Transactions – All bookings, flight logs, lesson notes, and payment entries you create in the Service must represent genuine, completed instructional or rental activities. The platform may not be used to fabricate training data, inflate logbook hours, launder money, or conduct any false or misleading transaction. Any attempt to do so is grounds for immediate account termination, referral to law enforcement, and pursuit of civil remedies.

Indemnity & Compliance – By listing aircraft or providing instruction, you agree to indemnify and hold Proper Pilots harmless from any claim arising out of your maintenance practices, instructional conduct, regulatory compliance, or misrepresentation of transactions.

Modifications to the Service or Terms

We may update the Service or these Terms at any time. Material changes will be announced in-app or by email. Continued use after changes become effective constitutes acceptance of the revised Terms.

Termination

We may suspend or terminate your access at any time and for any reason. Clauses that by their nature should survive—such as User-Generated Content, Disclaimers, Limitation of Liability, Indemnification, and Governing Law—will continue to apply after termination.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Indiana, USA, without regard to conflict-of-law principles. All disputes must be brought exclusively in the state or federal courts located in Marion County, Indiana, and you consent to their personal jurisdiction and venue.

Entire Agreement & Severability

These Terms and the Privacy Policy constitute the entire agreement between you and Proper Pilots regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full force.
